The Individual Licensee Escrow Agreement is a three party Escrow Agreement between the supplier (Licensor), user (Licensee) and SES for bespoke or Individual Licensing arrangements. Under the terms of the Escrow Agreement the supplier will deposit with SES the Source Code version of the Licensed Programs including relevant passwords, encryption details and all relevant documentation. In the event of supplier failure the user can retrieve the Source Code from SES in order to continue using the product without any interruption or downtime to their business.
Multiple Licensee Agreements are designed for standard Multiple users applications. In most cases the supplier (Licensor) would set-up the Agreement on request of a user (Licensee) directly with SES, once the Agreement is live any licensed user can register to the Agreement. Under the terms of the Escrow Agreement the supplier will deposit with SES the Source Code version of the Licensed Programs including relevant passwords, encryption details and all relevant documentation. In the event of supplier failure the users can retrieve the Source Code from SES in order to continue using the product without any interruption or downtime to their business.
